1. Agreement to These Terms

These Terms of Service (“Terms”) govern access to and use of Execuvent, related websites, and associated services. By creating an account, starting a trial, subscribing, or otherwise using Execuvent, you agree to these Terms and our Privacy Policy. If you use Execuvent on behalf of a business, you represent that you have authority to bind that business, and “you” includes that business (the “Customer”).

If you do not agree, do not use the service. Additional order forms, plan pages, or written agreements may apply; if there is a conflict, the signed order form or written agreement controls for the conflicting topic to the extent expressly stated.

2. The Execuvent Service

Execuvent is a multi-tenant SaaS CRM and operations platform for event planning and related businesses. Features may include clients, events, vendors, tasks, budgets, quotes, invoices, contracts, team collaboration, branding, messaging, and related tools. Features vary by plan and may change over time as we improve the product.

We may offer trials, beta, or early-access features. Those features may be less stable, change without notice, or be withdrawn. Beta features are provided as-is.

3. Account Responsibilities

  • Provide accurate registration and billing information
  • Keep login credentials confidential and notify us of unauthorized access
  • Ensure only authorized users access your workspace
  • Configure roles and seats in accordance with your plan
  • Maintain the security of devices and networks you use to access Execuvent

You are responsible for activity that occurs under your accounts and workspace, including actions by invited team members.

4. Customer Responsibilities

You are responsible for:

  • Your relationships with clients, vendors, guests, and other contacts you manage in Execuvent
  • The accuracy and lawfulness of data you enter, including having rights and consents to collect, store, and communicate with contacts
  • The content of quotes, invoices, contracts, messages, and documents you create or send
  • Compliance with applicable laws (privacy, marketing, telemarketing, consumer, employment, tax, and industry rules)
  • Your payment obligations to third parties (vendors, clients, processors) and any refunds, chargebacks, or disputes arising from your events or services

5. Customer Data — Ownership and License

As between you and Belanger Software, you own the Customer Data you submit to Execuvent (including client, vendor, event, quote, invoice, and contract content). You grant us a non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Data solely to provide, secure, support, and improve Execuvent and as described in our Privacy Policy.

You represent that you have all rights necessary to grant this license and that Customer Data does not violate law or third-party rights.

6. SMS / Text Messaging Terms

Execuvent may support SMS / text messaging for service-related communications. Messaging availability depends on plan, configuration, and provider capabilities.

By providing a mobile number and opting in, users agree to receive service-related SMS messages. Messages may relate to account activity, event updates, reminders, scheduling, vendor coordination, confirmations, support, and service-related communications.

  • Message frequency varies.
  • Message and data rates may apply.
  • Reply STOP to opt out.
  • Reply HELP for help.
  • Consent is not a condition of purchase.
  • SMS opt-in checkboxes must not be pre-checked.
  • SMS consent must be optional unless SMS is required for a specific requested communication feature.
  • Execuvent does not sell or share mobile opt-in consent data for marketing or promotional purposes.

Customers who send texts to their contacts are responsible for obtaining and documenting consent, honoring opt-outs, and complying with carrier and applicable messaging rules. We may suspend messaging features for abuse or non-compliance.

Required SMS Consent Language

Recommended checkbox language for Execuvent or platform-level messaging:

I agree to receive text messages from Execuvent and/or the event business using Execuvent regarding event updates, reminders, scheduling, vendor coordination, account activity, and service-related communications. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Consent is not a condition of purchase.

Recommended checkbox language for Customer (tenant) / business-facing forms:

I agree to receive text messages from [Business Name] through Execuvent regarding my event, scheduling, reminders, confirmations, and service-related communications. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Consent is not a condition of purchase.

7. Payments and Stripe Connect

SaaS subscription payments to Execuvent

Fees for Execuvent plans, seats, and add-ons are paid to Belanger Software / Execuvent (or our billing processor on our behalf). Pricing, billing intervals, taxes, and renewal terms are described on our pricing pages, checkout flow, or order form. Unless stated otherwise, subscriptions renew until canceled according to the plan rules then in effect.

Client invoice payments to Customers (Stripe Connect)

Customers may connect their own Stripe account (Stripe Connect) so that payments from their clients on Execuvent invoices can be processed to the Customer’s connected Stripe account. Those client invoice payments are not paid to Execuvent as the merchant of record for the Customer’s event services, unless we expressly agree otherwise in writing.

  • SaaS subscription payments are paid to Execuvent for use of the software.
  • Client invoice payments may be processed through a tenant’s connected Stripe account.
  • Execuvent is not a party to the Customer’s contracts, invoices, event services, vendor services, payment obligations, refunds, chargebacks, or disputes unless separately agreed in writing.
  • Payment processing is subject to the applicable processor’s terms (including Stripe’s and any Connect terms).

Customers are solely responsible for tax collection and remittance, refunds, chargebacks, disputes with their clients, and compliance with payment network rules for money they receive.

8. Quotes, Invoices, and Contracts

Quote, invoice, and contract tools help Customers prepare and share business documents. Execuvent does not provide legal, tax, or accounting advice. Templates and generated documents are tools only; Customers must review content before sending or relying on it. Acceptance, signatures, payment status, and contractual relationships are between the Customer and their counterparties, not Belanger Software, except for the Customer’s separate SaaS agreement with us.

9. Third-Party Services

Execuvent integrates with third-party services such as Stripe, Twilio, email providers, hosting, and authentication/database infrastructure. Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party outages, policy changes, or actions, except to the extent required by applicable law.

10. Subscription Plans, Trials, and Beta Features

Plan features, seat limits, and pricing may change. We will use reasonable efforts to communicate material plan changes. Trials end when the stated trial period ends or when converted to a paid plan. Unless we state otherwise, we may suspend access after trial expiry if no paid subscription is active. Complimentary, beta, or early access use may be revoked at our discretion.

11. Acceptable Use

You agree not to:

  • Violate law or third-party rights
  • Upload malware or attempt unauthorized access to systems or data
  • Interfere with or disrupt the service or other customers
  • Scrape, reverse engineer, or misuse the product except as allowed by law
  • Send spam or unlawful SMS/email marketing through or in connection with Execuvent
  • Use the service to harass, defraud, or impersonate others
  • Resell or provide the service as a competing platform without our written consent

12. Intellectual Property

Execuvent, including software, branding, documentation, and UI, is owned by Belanger Software and its licensors. These Terms do not transfer ownership of our intellectual property. We grant you a limited, non-exclusive, non-transferable right to access and use Execuvent during your subscription in accordance with these Terms and your plan.

13. Feedback

If you provide ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you.

14. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and use it only as needed to perform under these Terms, except for information that is public, independently developed, or rightfully received from another source without restriction. Customer Data is handled as described in the Privacy Policy and Section 5.

15. Disclaimers

EXECUVENT IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DOCUMENTS OR CALCULATIONS WILL MEET YOUR LEGAL OR BUSINESS REQUIREMENTS WITHOUT YOUR REVIEW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BELANGER SOFTWARE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO EXECUVENT OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR EXECUVENT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. THESE LIMITATIONS APPLY TO SAAS SUBSCRIPTION USE; THEY DO NOT MAKE US LIABLE FOR YOUR CLIENT PAYMENTS, REFUNDS, OR EVENT DISPUTES PROCESSED THROUGH YOUR CONNECTED STRIPE ACCOUNT.

17. Indemnification

You will defend, indemnify, and hold harmless Belanger Software and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) Customer Data; (b) your use of Execuvent; (c) your quotes, invoices, contracts, events, or vendor relationships; (d) your SMS/email practices and consents; (e) payment disputes, chargebacks, or taxes related to money you receive from clients; or (f) your breach of these Terms or applicable law.

18. Suspension and Termination

You may stop using Execuvent and cancel according to your plan’s cancellation process. We may suspend or terminate access for non-payment, material breach, legal risk, abuse, or long inactivity. Upon termination, your right to access ends. We may delete or disable Customer Data after a reasonable period, subject to legal retention needs and our Privacy Policy. Sections that by nature should survive (including ownership, disclaimers, liability limits, and indemnity) will survive termination.

19. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Exclusive venue for disputes arising from these Terms or Execuvent will be the state or federal courts located in Arizona, unless applicable law requires otherwise. You consent to personal jurisdiction there.

20. Changes to These Terms

We may update these Terms periodically. The “Last updated” date will change when we do. Material changes may be communicated by email or in-product notice when appropriate. Continued use after the effective date of updated Terms constitutes acceptance, except where prohibited by law.
